There are 5 steps:

1. Choose the project of your interest, select it at the platform and choose the amount you intend to invest. (You should be a registered at the platform as the investor).

2. After deadline and in case of at least minimum amount raised, Vitofund initialize to establish the SPV (Special Purpose Vehicle) - this is a Company, which purpose is to collect all shareholders and issue shares according to invested amount and this SPV buys shares from the     Project (usually around 20%). This deal registered in Registration House on place of Company residence. As an example for Latvia registered SPVs – he Enterprise Register of Latvia.    

3. You receive the Agreement with Vitofund for given service.    

4. You transfer money to SPV and SPV transfers money to Project owner.

5. You receive all     registration documents and SPV shares ownership from Registration     House.

   Then follow the company results which will be represented every 90 days on project webpage.

Yes, our crowdfunding platform activities regulated by FKTK (Financial Commission of Republic of Latvia) according to EU regulation 2020/1503.

Yes, it is possible. Even though we choose best offers, this is a high risk investments. We do not recommend to invest more than 10% of net worth (you can check your net worth during the Investor registration at our website)

We advise to diversify your investments – invest into different projects and don’t invest all into one.

Every 90 days you can see on project web page the Financial report and reports of future activities.

This depends on a company’s applicable regulations and place of residence. For example, in Latvia you can receive dividends before the annual report, every 3 months. But normally it is paid once per year after the annual report with a positive balance issued.  

We don’t charge investors. The only charges you bear are dealt with the SPV establishment and the Accounting reports provision (expenses divided to all shareholders shares). For example, in average for investment of 5.000EUR for 1^st year (company set up and accounting fees) the expenses will be 20 EUR and for the second year (accounting) - 10EUR .

Additionally, in case of profit we charge 1% from the profit amount after it is cleared.

Yes, you have 4 calendar days to inform to info@vitofund.com in case you wish to revoke your investment.

After this period of time in case you don’t complete the investment it can be a subject to penalty of up to 1000 EUR, to cover the related expenses.

Any EU company who is willing to rise from 100.000 EUR and up to 2.000.000 EUR

The company shall already have the product for evaluation (Webpage, physical product, other solutions).

The company shall have business plan which is to be approved by our management team.

Please fill the form for Start-ups and in case if we choose your product for publishing, then we will request to fill the Key Investments Sheet with all applicable information.

After that we publish and await for investors’ interest confirmation.

In case of success, Investors establish the SPV (Special Purpose Vehicle) – it is a Company, which buys shares of your company (normally 20%) and you receive money from the SPV after all registrations at your country Enterprise Register House.  

Normally, you should expect 90 days at least and more.

Investors are interested in you company growth – large price of shares and larger dividends.

Investors don’t have any fixed loan rate or other profits.

We kindly ask to respect your investors and to be responsible, honest and open for contacts.

Take to an account - more dividends received investors, more investors will be interested in future to invest into your business, more company share price can be expected.

Investors have a right to control your activities, charges, business plan.

We request 8 to 10% from and after raised amount depending on project size, volume of work and additional services.
